Supreme Court Rejects Elon Musk's Appeal on Pre-Approved Tweets
The Supreme Court has recently made a decision that upholds a prior agreement between Elon Musk and securities regulators concerning his use of social media. This ruling mandates that Musk, the CEO of Tesla, must receive prior approval for certain tweets related to the electric vehicle company. This development follows Musk's appeal against what he termed as a "prior restraint" on his freedom of speech, which he argued was in breach of the First Amendment. However, the justices declined to comment further as they affirmed the decisions made by lower courts.

The controversy originated from a series of tweets by Musk in 2018, where he indicated having secured funding to privatize Tesla. These tweets not only led to a significant surge in Tesla's share price but also resulted in a temporary suspension of trading. The subsequent settlement with the Securities and Exchange Commission (SEC) necessitated that Musk's tweets undergo review by a Tesla attorney before posting. Additionally, both Musk and Tesla were required to settle civil fines due to the misleading nature of Musk's tweets regarding the privatization at $420 per share—a claim that turned out to be unfounded as Tesla remains a public entity.
The SEC's enforcement action against Musk was predicated on allegations that his tweets about taking Tesla private contravened anti-fraud regulations under securities laws. The scrutiny into Musk's adherence to the settlement intensified in 2021 when he queried his Twitter followers—without prior approval—about selling 10% of his Tesla shares. It is noteworthy that Musk took ownership of Twitter, now rebranded as X, in 2022.
This legal standoff underscores the ongoing tension between regulatory compliance and free speech rights within the realm of corporate communication on social media platforms. As this situation unfolds, it highlights the critical balance corporate leaders must maintain when disseminating information that can impact market dynamics and investor decisions.
