Kerala High Court Scrutinizes KSIDCs Role in CMRL Financial Transactions
The Kerala High Court has ordered the state-run KSIDC to provide documentation proving its request for clarification from Cochin Minerals and Rutile Ltd regarding alleged financial transactions involving the IT firm of Chief Minister Pinarayi Vijayans daughter Veena and others. The courts directive came in response to a plea by KSIDC seeking to quash a central government order mandating an investigation into its affairs by the Serious Fraud Investigation Office (SFIO) under the Companies Act.
The Kerala High Court has directed the state-run Kerala State Industrial Development Corporation (KSIDC) to furnish documents demonstrating that it sought an explanation from Cochin Minerals and Rutile Ltd (CMRL) regarding alleged financial transactions involving the IT company of Chief Minister Pinarayi Vijayan's daughter, Veena, and others. The court's directive came during a hearing on a plea filed by KSIDC seeking to quash a central government order mandating an investigation into its affairs by the Serious Fraud Investigation Office (SFIO) under the Companies Act.

KSIDC's Role in the Alleged Transactions
During the hearing, KSIDC asserted that it played no part in any of the alleged transactions mentioned in the case and requested exemption from the investigation. The corporation also informed the court that it had sought an explanation from CMRL in connection with the matter.
Justice Devan Ramachandran's Instructions
Justice Devan Ramachandran, who presided over the hearing, instructed KSIDC to provide documentation substantiating its claim of seeking an explanation from CMRL. KSIDC holds a 13.4 percent stake in CMRL. The corporation expressed concerns that the SFIO investigation could damage its credibility and reputation.
Court's Decision and Next Hearing
Despite KSIDC's apprehensions, the court clarified that no coercive actions would be taken against the corporation while the petition remained pending. The court has scheduled the next hearing for February 26, 2023, to further deliberate on the matter.
Background of the Case
On February 7, 2023, the Kerala High Court declined to halt the SFIO investigation into the three companies involved in the case, namely KSIDC, Exalogic (Veena's IT firm), and CMRL. The SFIO had visited the KSIDC head office in Thiruvananthapuram on the same day and had previously visited the CMRL office two days prior.
Allegations Against CMRL and Veena's Firm
The case stems from allegations that CMRL made payments totaling Rs 1.72 crore to Veena's firm, Exalogic, between 2017 and 2020 without receiving any services in return. A Malayalam daily reported this information last year, citing the ruling of an interim board for settlement. The news report also mentioned a previous agreement between CMRL and Veena's IT firm for consultancy and software support services. However, it alleged that payments were made on a monthly basis despite the absence of any services rendered by her firm, attributing this to her relationship with a prominent individual.
Findings by the Registrar of Companies
Another report this year highlighted findings by the Registrar of Companies (ROC) against Veena's firm, further complicating the case.
The Kerala High Court's directive to KSIDC to provide proof of seeking an explanation from CMRL adds a new dimension to the ongoing investigation into the alleged financial transactions involving Veena's IT company and CMRL.
