Foundations of Indian Contract Law: Landmark Book Launched at India International Centre

The evening of March 7 saw an intellectual gathering at the India International Centre in New Delhi as legal luminaries, academics, and law practitioners came together to celebrate the launch of a landmark book-Foundations of Indian Contract Law.

Published by Oxford University Press, this book delves deep into the evolution of Indian contract law, its philosophical underpinnings, and its modern challenges.

The event was graced by Hon'ble Justice Mr. KV Viswanathan, Judge, Supreme Court of India, and Dr. Abhishek Singhvi, Senior Advocate, Supreme Court of India, Member of Parliament, and Former Additional Solicitor General of India, as Guests of Honour. Their presence added weight to the discussions surrounding the book and the broader themes of contract law in India today.

An Evening of Insightful Discussions

The program started with opening remarks by Dr. Umakanth Varottil, Professor at the National University of Singapore and Programme Advisor at Shiv Nadar School of Law. His introduction set the stage for a deep dive into the book's themes, including contractual fairness, coercion, illegality, and restraint of trade.

Hon'ble Justice Viswanathan, in his address, spoke about the fundamental tensions in contract law-upholding agreements versus ensuring fairness. He praised the book for not only analysing historical and legal perspectives but also challenging the status quo by raising critical doctrinal questions. "

This book is an intellectual provocation, a challenge to the status quo, and an invitation to reimagine the trajectory of contract law," he remarked.

Dr. Abhishek Singhvi followed with an engaging speech, describing the book as a "contractual joint venture" that brings together diverse legal minds from across jurisdictions. He highlighted how the book performs the dual function of being an insightful academic work and a comprehensive guide to Indian contract law.

A Scholarly Endeavor with Global Insights

Foundations of Indian Contract Law is co-edited by Prof. Shivprasad Swaminathan (Dean, Shiv Nadar School of Law), Prof. Umakanth Varottil (National University of Singapore), Dr. Niranjan Venkatesan KC (Barrister, One Essex Court, London), and Dr. KV Krishnaprasad (Barrister, One Essex Court, London). The book features contributions from leading academics and practitioners across India, the UK, Australia, New Zealand, and Singapore. This international perspective adds depth to the comparative analysis of contract law principles and their practical implications in a globalised legal landscape.

The book examines key contract law doctrines such as coercion, undue influence, unconscionability, illegality, and the duty of good faith. It also explores modern challenges, including the balancing act between judicial intervention and contractual certainty, economic efficiency, and equitable fairness.

Presentations by Experts

The evening also featured insightful presentations by leading legal scholars and practitioners. Among them:

Coercion, Undue Influence, and Unconscionability - Shivprasad Swaminathan (Dean, Shiv Nadar School of Law) & Veda Singh (Advocate, Delhi High Court)

A Book That Aims to Shape the Future of Contract Law

According to Prof. Shivprasad Swaminathan, Foundations of Indian Contract Law is more than just a book-it is a critical resource for scholars, lawyers, judges, and policymakers. "Our goal is to equip stakeholders with a deeper understanding of contract law's evolving principles and their real-world implications. Given India's growing role in the global economy, a nuanced approach to contract law is more important than ever," he said.

Prof. Umakanth Varottil emphasized the book's comparative framework, which allows readers to understand how contract law principles are applied in different legal systems. This approach is particularly useful for high-value cross-border transactions and dispute resolution in an increasingly globalised economy.

A Must-Read for Legal Professionals

With 22-24 chapters contributed by some of the finest legal minds, Foundations of Indian Contract Law is set to become a definitive resource for anyone involved in contract law. Whether one is a student, a practicing lawyer, or a policymaker, this book provides an essential guide to understanding both the historical foundations and contemporary challenges of contract law in India.

As the evening drew to a close, guests engaged in lively discussions over dinner, reflecting on the importance of contract law in shaping business practices, legal frameworks, and the broader society. The book's launch not only marked the introduction of a valuable legal resource but also reinforced the importance of continuous academic and legal discourse in evolving the law to meet modern-day challenges.
