EXPLAINED | All About Hindenburg, Firm Which Dropped Bombshell Against Adani Group, Sebi Chief
Hindenburg Research, a US-based investment research firm known for its forensic financial investigations, recently released a report on August 10, 2024, alleging that the Securities and Exchange Board of India (SEBI) failed to act on claims made in its 2023 report against the Adani Group.
The reason, according to Hindenburg, is that SEBI's chairperson, Madhabi Puri Buch, and her husband, Dhaval Buch, had investments in offshore firms linked to the Adani Group.

The firm claimed that these investments date back to 2015 and involve offshore funds in Bermuda and Mauritius associated with entities allegedly used by the Adani Group for market manipulation.
This new report comes on the heels of Hindenburg's explosive 2023 report, which accused the Adani Group of orchestrating the "largest con in corporate history" through stock manipulation and financial misconduct.
That report led to major financial repercussions for the Adani Group, with over $100 billion wiped off their market valuation.
In its latest report, Hindenburg alleges that Madhabi Buch and her husband's investments predate her roles at SEBI, with Dhaval Buch taking over sole control of their investments just weeks before her appointment to SEBI in 2017.
Hindenburg speculates that this might explain SEBI's reluctance to take meaningful action against the Adani Group, stating, "We suspect SEBI's unwillingness to take meaningful action against suspect offshore shareholders in the Adani Group may stem from Chairperson Madhabi Buch's complicity in using the exact same funds used by Vinod Adani, brother of Gautam Adani."
In response, Buch and her husband have categorically denied these allegations.
They released a joint statement saying, "In the context of allegations made in the Hindenburg Report dated August 10, 2024, against us, we would like to state that we strongly deny the baseless allegations and insinuations made in the report. The same is devoid of any truth. Our life and finances are an open book. All disclosures as required have already been furnished to SEBI over the years."
Hindenburg Research has a history of uncovering financial misconduct, and its 2023 report on Adani first brought them to prominence in India.
That report alleged that the Adani Group's chairman, Gautam Adani, had added $100 billion to the company's valuation through stock price manipulation, with key figures within the Adani family involved in fraudulent activities.

Hindenburg Research, founded by Nathan Anderson, is a U.S.-based investment research firm that specialises in forensic financial investigations.
The company focuses on uncovering accounting discrepancies, unethical business practices, and undisclosed financial issues within companies.
One of its primary activities is short selling, a strategy where the firm releases reports on companies to predict potential declines in their market prices, thus enabling profitable short positions.
Nathan Anderson, who describes himself as an activist short seller, leads the company with the aim of exposing financial misconduct.
Before Hindenburg releases its findings publicly, the reports are shared with a select group of investors, allowing them to place shorting bets on the implicated companies.
Anderson, who graduated from the University of Connecticut with a degree in international business, began his career at FactSet Research Systems, where he worked with investment management firms.
His experience at FactSet, coupled with his knack for uncovering financial scams, led him to establish Hindenburg Research.
The firm's name is inspired by the Hindenburg disaster of 1937, a catastrophic and avoidable explosion of a German airship.
Hindenburg Research draws a parallel between this event and the financial "disasters" they aim to expose in the market, as explained on their website: "We look for similar man-made disasters floating around in the market and aim to shed light on them before they lure in more unsuspecting victims."
Since its inception in 2017, Hindenburg Research has published 16 reports uncovering illegal transactions, financial fraud, and other malpractices.
These reports have targeted both public companies listed with the United States Securities and Exchange Commission and private entities across various sectors and countries.
Among their most significant investigations is their report on the electric vehicle company Nikola, which led to the conviction of its founder and a $125 million settlement with the U.S. government.
A profile in the New York Times reveals that the Hindenburg team is composed of former journalists from prominent media outlets like Bloomberg and CNN, as well as financial analysts.
The firm also collaborates with whistle-blowers from within the companies they investigate. However, Anderson has chosen not to disclose the identities of the 10 investors who finance the firm's operations.
Hindenburg Research's impact has been recognised within the industry, earning the title of 'top short seller' at Activist Insight's Investing Annual Review in both 2021 and 2022.
